Terms of Service

1. Service operator

ElShift is operated by Private Entrepreneur OYENIRAN MICHAEL TEMITOPE, registered in Ukraine (RNOKPP 3589611556). Registered address: 39730, УКРАЇНА, ПОЛТАВСЬКА ОБЛАСТЬ, КРЕМЕНЧУЦЬКИЙ РАЙОН, С. 2. Acceptance and eligibility

You accept these Terms when you submit a subscription order, accept an invitation, or use ElShift. If you act for an organization, you confirm that you have authority to accept these Terms for it. A manager may also purchase personally and become the administrator of the organization created from that purchase. You must provide accurate purchase and account information and be legally capable of entering a contract.

3. Purchase and account activation

Self-service access is payment-first. You provide the prospective organization and administrator details, including the organization country, complete Paddle checkout, and receive access only after the subscription is confirmed. ElShift then creates the organization and emails an invitation to the administrator. There is no public self-registration and payment confirmation does not by itself create a signed-in session. Manual onboarding is governed by a separate written agreement.

4. Monthly subscriptions, Paddle and taxes

Self-service plans are billed monthly and renew automatically until cancelled. Paddle is our authorized reseller and Merchant of Record for self-service purchases; Paddle processes payment, issues the purchase document, and calculates and remits applicable VAT, GST, sales tax, or equivalent tax based on the buyer and transaction. Prices may be shown tax-inclusive or tax-exclusive according to location. The final price and tax treatment are displayed before payment.

5. Cancellation and refunds

You may cancel through the Paddle customer portal or ElShift billing settings. Cancellation stops the next renewal and access continues until the end of the current paid period unless law requires otherwise. Subscription charges are normally non-refundable once payment has been completed and the paid period has begun. Refunds for incorrect or duplicate charges, post-cancellation charges, service problems, and any mandatory rights are governed by our Refund Policy.

6. Accounts and organization data

Organization administrators control membership and scheduling information within their organization. You are responsible for authorized use, accurate workforce data, lawful instructions to ElShift, and protecting login credentials. You must promptly notify support of suspected unauthorized access. ElShift assists scheduling decisions; the customer remains responsible for reviewing schedules and complying with employment, working-time, health and safety, and other laws applicable to its workforce.

7. Acceptable use

You must not misuse ElShift, attempt unauthorized access, interfere with service operation, upload unlawful or malicious content, infringe another person’s rights, or use the service in violation of applicable law. We may restrict access where reasonably necessary to protect users, the service, or third parties.

8. Availability and changes

We work to keep ElShift available and secure but cannot promise uninterrupted service. We may change features where reasonably necessary for security, legal compliance, or product improvement without materially removing paid functionality during a current billing period. Planned material changes will receive reasonable notice where practicable.

9. Intellectual property

ElShift and its software, branding, design, and documentation remain our property or that of our licensors. You retain rights in data you submit and grant us only the permission needed to host, process, back up, and display it to provide and secure the service.

10. Suspension and termination

Access may be limited when payment is overdue, a subscription ends, security is at risk, or these Terms are materially breached. Where reasonable, we will give notice and an opportunity to remedy. You may request organization closure at any time.

11. Liability

To the maximum extent permitted by law, neither party is liable for indirect or consequential loss that was not reasonably foreseeable. Nothing in these Terms excludes liability or remedies that cannot legally be excluded, including mandatory consumer protections, fraud, or deliberate misconduct.

12. Governing law and disputes

These Terms are governed by the laws of Ukraine. Courts with jurisdiction under Ukrainian law may hear disputes. If you are a consumer, this choice does not remove mandatory protections or court rights granted by the law of your habitual residence. Please contact us first so we can try to resolve a concern promptly.
